End User License Agreement (EULA) for TeX World (Team)

Important: Read this license agreement carefully before downloading or installing the software. By downloading or installing the software, you acknowledge that you have read this EULA and agree to be bound by its terms and conditions.

License Grant

Subject to the terms and conditions of this EULA, Monday Tech ("Licensor") grants you, the end-user ("Licensee"), a non-exclusive, non-transferable license to access and use the TeX World software programs (the "Software") on 10 machines at the same time.

"Machine" is defined as any instance where the Software is loaded into computer memory and executed. The license must be activated for a machine. A machine may be released and the freed slot used for another machine.

Subscription

  • You agree to subscribe to the Software for access and use. The subscription term is yearly and renews automatically for subsequent terms unless cancelled by you before the end of the current term. Subscription fees are charged to your chosen payment method at the beginning of each term.

  • You can find current subscription fees and manage your subscription settings on https://mondaytech.com/customer-portal ("Customer Portal").

Term and Termination

  • This EULA is effective upon your acceptance and continues until terminated.

  • You may terminate your subscription by cancelling it through the Customer Portal. Your subscription then ends at the end of the then-current subscription term ("End Date").

  • After the End Date your license does not stop working. Every version of the Software released before the End Date may be used indefinitely, on the same number of machines and under the same terms as this EULA, which survives termination for that purpose. Versions released on or after the End Date require an active subscription.

  • This EULA and your license to use the Software terminate immediately, with no continued use of any version, if you violate any of its terms and conditions.

  • If a subscription fee is not paid when due, the license is suspended until payment is made.

Refund Policy

  • You may be eligible for a full refund of your initial subscription fee within 14 days of your first purchase, excluding any applicable processing or transaction fees.

  • To request a refund, please contact Monday Tech customer support at support@mondaytech.com within the 14-day window. You will be required to provide your proof of purchase and a brief explanation for requesting a refund.

  • Refunds will be processed within 7 business days of your request approval. The refund will be issued to the original payment method used for the purchase.

  • This refund policy only applies to the initial subscription fee and does not cover any charges for subsequent renewal periods.

Restrictions on Use

  • You may not:

    • resell, lease, rent, distribute, or sub-license the Software.
    • provide access to the Software via a web or network application that allows multiple users to access or utilize the Software concurrently.
    • disclose the license key associated with the Software to any third party, except as expressly permitted under "License Key" below.
    • republish any documentation, user manuals, or other materials accompanying the Software.
    • modify, translate, reverse engineer, decompile, or disassemble the Software (other than files provided for convenience in source code form by Monday Tech).
    • alter, remove, or obscure any copyright, trade secret, patent, trademark, logo, proprietary and/or other legal notices on or in copies of the Programs.
    • use any trademarks or similar identifiers owned by Licensor or third parties in a way that suggests an endorsement or affiliation that does not exist.
    • use the Software in any way that violates any applicable laws or regulations.

License Key

  • The Software may utilize a license key for activation and use. The license key is considered confidential information.

  • You may share the license key with employees and contractors of your company or organization, provided such use is solely for the internal business purposes of the licensee and remains subject to this Agreement. Any sharing outside of the licensee's organization -- including posting the key online, distributing it to unaffiliated third parties, or permitting use by individuals not engaged in the licensee's business -- is strictly prohibited.

  • The license is validated over the internet. The Software contacts Licensor's licensing service periodically to confirm that the license is still valid. A machine that has not checked in for more than seven (7) days may have its activation released, freeing the slot for another machine.

Updates

  • Licensor may, from time to time, in its sole discretion, develop and make available updates, upgrades, and bug fixes to the Software ("Updates").

  • Updates may contain new features, functionality, or bug fixes. Licensor recommends installing Updates as they become available.

Ownership

The Software and all Updates are and shall at all times remain the exclusive property of Monday Tech and/or its licensors. You do not acquire any ownership rights in the Software or Updates by virtue of this EULA. You shall take all reasonable steps to protect the confidentiality of the Software and Updates and to prevent unauthorized use or disclosure thereof.

The Software and all Updates are protected by copyright laws and international treaty provisions. The Licensor owns all intellectual property rights in the Software and Updates.

Third-Party Software

The Software may include or require third-party components or libraries ("Third-Party Software"), either installed separately (e.g. via a package manager) or contained within the Software. Such Third-Party Software is provided under its own license terms, which are supplied with the Software where applicable. The Licensor does not grant rights to Third-Party Software and is not responsible for its availability, functionality, or security. Users are responsible for complying with the license terms of any Third-Party Software.

Disclaimer of Warranty

The software is provided "as is" and without warranty of any kind, express or implied. Licensor disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Licensor does not warrant that the software will be error-free or will function without interruption.

Limitation of Liability

In no event shall licensor be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the software, even if licensor has been advised of the possibility of such damages.

Amendments to this Agreement

Licensor may amend or update the terms of this Agreement from time to time, including to reflect changes in applicable law, improvements to the Software, or adjustments to licensing conditions. Any such amendment shall be effective as of the date it is made available to Licensee through Licensor's official website, the Software itself, or other reasonable means of communication. Amendments do not apply retroactively to a license already granted for a fixed term. Continued use of the Software after the effective date of any amendment shall constitute Licensee's acceptance of the amended terms. If Licensee does not agree to the amended terms, Licensee must cease all use of the Software and, if applicable, uninstall it from all devices.

Governing Law

This EULA shall be governed by and construed in accordance with the laws of Germany.

Entire Agreement

This EULA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Severability

If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any breach of this EULA shall constitute a waiver of any other breach or subsequent breaches.
